DoFeeds is a service offered by Webgarh Solutions Pvt. Ltd., designed to integrate third-party supplier feeds with eCommerce platforms like Shopify, WooCommerce, and PrestaShop.

2. Eligibility and Account Registration

Who Can Use DoFeeds?

You must be at least 18 years old to register.

You must provide accurate business information when signing up.

Account Responsibility

  • You are responsible for maintaining the confidentiality of your login credentials.

  • You agree to notify us immediately in case of unauthorized access to your account.

3. Services Provided

Integration Services

DoFeeds provides automated supplier feed integration, including:

  • Product Sync - Updates product catalogs.

  • Stock Sync - Real-time inventory updates.

  • Purchase Order Sync - Tracks orders from suppliers.

  • Order Tracking Sync - Updates shipment details.

Platform Features

  • Seamless Shopify Admin API integration.

  • CSV, XLS, TXT, FTP, and API-based feed support.

  • Real-time logs and dashboards for monitoring sync history.

  • Self-managed Servers

4. Fees and Payment Terms

Pricing Plans

DoFeeds operates on a subscription-based pricing model, which includes:

  • A one-time integration/setup fee (paid in advance).

  • A monthly subscription fee for continued access and synchronization services.

  • Custom pricing may apply based on the number of suppliers, data volume, and specific integration needs.

Billing and Invoicing

  • Invoices are generated on a scheduled monthly basis & paid automatically through subscriptions.

  • Payments must be made within the specified due date to avoid service disruption.

  • Failure to make payments on time may result in temporary suspension of services.

Non-Payment Consequences

  • If an invoice remains unpaid for an extended period, DoFeeds reserves the right to pause synchronization services.

  • In cases of non-payment beyond a reasonable duration, the account may be permanently suspendedn, and data may be removed from the system.

5. Service Level Agreement (SLA)

Uptime Commitment

  • We ensure 99.5% uptime for our platform.

  • Scheduled maintenance will be communicated at least 24 hours in advance.

Support Response Times

  • Within 2 hours during business hours (10 AM to 7 PM Indian standard time).

  • Up to 12 hours outside business hours. (10 AM to 7 PM Indian standard time).

Limitations

DoFeeds is not responsible for issues caused by:

  • Third-party hosting providers (e.g., Shopify, WooCommerce).

  • Supplier feed disruptions.

  • Incorrect configurations by the client.

6. Data Privacy & Security

Data Collection

  • We collect only necessary data for feed integration.

  • We do not sell or share your data with third parties.

Data Retention

  • We store sync logs for up to 12 months.

  • If you terminate your account, we delete all associated data within 30 days.

Security Measures

  • Data is stored on secure servers.

  • Regular API and security updates are applied.

7. Termination & Refund Policy

Termination by Client

  • You may terminate your subscription with 30 days' notice.

Termination by DoFeeds

We reserve the right to terminate accounts for:

  • Non-payment beyond 3 months.

  • Violation of terms or illegal activity.

Refund Policy

  • Setup fees are non-refundable.

  • No refunds for unused subscription periods.

8. Liability & Indemnification

Limitation of Liability

  • DoFeeds is not liable for indirect damages, including loss of revenue or data.

  • Our maximum liability in any dispute will be the total fees paid by the client in the last 1 month.

Indemnification

You agree to indemnify and hold DoFeeds harmless against claims arising from:

  • Misuse of our platform.

  • Inaccurate supplier data affecting store operations.

9. Governing Law & Dispute Resolution

Applicable Law

  • This agreement is governed by Indian law in the state of Punjab, SAS Nagar.

Dispute Resolution

  • Disputes will first be attempted to be resolved amicably.

  • If unresolved, they will be settled through arbitration in SAS Nagar, Punjab, India.

10. Updates to These Terms

  • We may update these Terms and Conditions periodically.

  • Users will be notified via email or website updates.

12. Force Majeure

Neither party shall be held liable for failure or delay in performing obligations due to unforeseen circumstances beyond reasonable control, including but not limited to natural disasters, government actions, cyber-attacks, or server failures beyond our control.

13. Third-Party Services

DoFeeds integrates with third-party platforms such as Shopify, WooCommerce, and PrestaShop. We do not control their services, and any disruptions on their end may impact the performance of our platform.

14. No Partnership

This agreement does not create a joint venture, partnership, or agency relationship between DoFeeds and the client.
